Introduction

These Terms and Conditions ("Terms") govern the use of the website and services provided by Vanadan B.V. ("Vanadan," "we," "us," or "our"), a Dutch-based distributor of food products delivering worldwide. By accessing our website and/or placing orders with us, you ("Customer," "you," or "your") agree to comply with and be bound by these Terms.

1. Scope of Application

1.1 These Terms apply to all quotations, offers, orders, agreements, and deliveries of goods and services by Vanadan.

1.2 Any deviations from these Terms are only valid if explicitly agreed upon in writing by Vanadan.

2. Orders and Contracts

2.1 Order Placement: Orders can be placed via our website, email, or phone. All orders are subject to acceptance by Vanadan.

2.2 Order Confirmation: An agreement between Vanadan and the Customer is formed upon issuance of an order confirmation by Vanadan.

2.3 Product Availability: All orders are subject to product availability. Vanadan will notify the Customer promptly if a product is unavailable.

3. Prices and Payment

3.1 Pricing: All prices are quoted in Euros (EUR) and are exclusive of VAT and shipping costs, unless stated otherwise. Vanadan reserves the right to amend prices at any time without prior notice.

3.2 Payment Terms: 30% Pre payments must be made within 3 days of the invoice date and 70% of the remaining before unloading, unless otherwise agreed in writing. Accepted payment methods include bank transfer, credit card, and other methods specified on our website.

3.3 Late Payment: In the event of late payment, the Customer shall be liable for statutory interest and any collection costs incurred by Vanadan.

4. Delivery and Shipping

4.1 Delivery Times: Vanadan will endeavor to deliver products within the agreed timeframe. However, delivery times are estimates and not binding.

4.2 Shipping Costs: Shipping costs are determined based on the delivery destination and the size and weight of the order. These costs will be communicated to the Customer before order finalization.

4.3 Risk and Ownership: The risk of loss or damage to products transfers to the Customer upon delivery. Ownership of the products remains with Vanadan until full payment has been received.

5. Returns and Cancellations

5.1 Returns: Products may be returned within 5 days of receipt, provided they are in original condition and packaging. The Customer must contact Vanadan for a return authorization before sending products back.

5.2 Cancellations: Orders may be canceled prior to shipment. If the order has already been shipped, the Customer may return the products in accordance with the return policy.

5.3 Refunds: Refunds will be processed within 14 days of receiving the returned products. Shipping costs are non-refundable.

6. Warranty and Liability

6.1 Warranty: Vanadan warrants that products conform to the specifications stated in the contract. In case of non-conformance, Vanadan will, at its discretion, replace the products or refund the purchase price.

6.2 Liability: Vanadan's liability is limited to the value of the products in question. Vanadan shall not be liable for any indirect, incidental, or consequential damages.

7. Governing Law and Dispute Resolution

7.1 Governing Law: These Terms are governed by and construed in accordance with Dutch law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Arnhem, Netherlands.

7.2 Dispute Resolution: The parties shall first attempt to resolve any disputes amicably through negotiation. If negotiation fails, the dispute shall be submitted to mediation or arbitration in accordance with the rules of the Netherlands Arbitration Institute.

8. Changes to Terms and Conditions

8.1 Vanadan reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after any changes constitutes acceptance of the new Terms.
